Register of Overseas Entities — verification agent for overseas companies holding UK property
If an overseas company or entity owns — or wants to buy — property in the UK, it must be on the Companies House Register of Overseas Entities (ROE), with its beneficial owners verified by a UK-regulated agent. TaxStats is that agent: we verify your beneficial owners, register the entity for its Overseas Entity ID (OEID), and file the annual update statements that keep it compliant.
Free, takes about two minutes, no account needed. Pricing depends on your entity's circumstances — the check tells us what those are.
TaxStats ID is an independent service by TaxStats Ltd — we are not Companies House, GOV.UK or any government body.
Many overseas entities are already in breach — and don't know it
The registration requirement is retrospective. If an overseas entity owned a qualifying freehold or a lease of more than seven years acquired:
- in England and Wales — on or after 1 January 1999
- in Scotland — on or after 8 December 2014
- in Northern Ireland — on or after 5 September 2022
…it had to register by 31 January 2023 — and an entity that hasn't registered remains in breach until it does. It cannot sell, transfer or charge the property in the meantime. Late registration is still possible, and putting it right is usually straightforward once it's handled properly. The first step is the two-minute check below.
Two services, one regulated agent
Whether your entity has never registered or is already on the register, the verification work must be done by a UK agent supervised under the Money Laundering Regulations 2017.
ROE registration & Overseas Entity ID (OEID)
For entities not yet on the register — including entities buying UK property for the first time and entities that missed the 2023 deadline. We verify every beneficial owner and managing officer, prepare the registration, and the entity receives its OEID.
- Beneficial-owner verification by a regulated UK agent
- Registration prepared and filed
- OEID issued by Companies House
- Late (post-deadline) registrations put right at a fixed fee
ROE annual update statement
For entities already registered. The update statement is due every year within 14 days of the registration anniversary — even when nothing has changed — and any changed beneficial-owner details must be re-verified no more than three months before filing.
- Annual statement prepared and filed on time
- Re-verification inside the three-month window
- Deadline tracked for you, year after year
- Protected-status cases handled on the correct route
We don't publish a single fixed price for ROE work because the right answer depends on your entity's circumstances — how many beneficial owners, whether a trust is involved, and whether the entity is already late. The check tells us what we need, and standard cases get an indicative quote immediately.

What a UK-regulated verification agent does
An overseas entity cannot register on the ROE, or file its update statement, on the strength of its own say-so. UK law requires the identity and details of its beneficial owners and managing officers to be verified by a UK-supervised agent — a firm regulated for anti-money-laundering purposes under the Money Laundering Regulations 2017 — who confirms the checks to Companies House.
TaxStats Ltd is an ACCA-regulated accountancy practice supervised under MLR 2017, and a Companies House Authorised Corporate Service Provider (ACSP AP006589). We carry out the verification checks, keep the records the law requires, and make the verification statement to Companies House as your agent.
Verification is time-limited: checks are only valid for a filing made within three months of the verification date. We track that window for every beneficial owner so a filing is never made on expired checks.
