Jersey companies and JPUTs — the Register of Overseas Entities position

Jersey vehicles hold a large share of UK commercial and residential property — as Jersey companies and, very commonly, through Jersey Property Unit Trusts (JPUTs). Both routes carry a UK obligation: the registered owner of the property must be on the Companies House Register of Overseas Entities with a valid OEID, its beneficial owners verified by a UK-regulated agent. That is the work we do.

No account, no obligation. Standard cases — late registrations included — see an itemised quote immediately.

How Jersey structures meet the ROE

Jersey companies

A Jersey-incorporated company owning UK property registers as the overseas entity, with its registrable beneficial owners disclosed and verified — the standard case.

JPUTs

In a Jersey Property Unit Trust the property is legally held by the trustee(s) — usually Jersey-incorporated trustee companies. It is those trustee companies that register as overseas entities, and because a trust sits in the structure, the filing goes on the Companies House paper route with trust details disclosed.

Jersey trustees of family trusts

The same logic applies outside unit trusts: where Jersey corporate trustees hold UK property on trust, the trustees register and the trust is disclosed. These filings are paper-route and benefit from starting early.

Doesn't Jersey already have a beneficial-ownership register?

Jersey maintains its own register of beneficial ownership, held by the JFSC and not open to the public. It does not satisfy or replace the UK requirement: the Register of Overseas Entities is a separate, public UK disclosure, and its verification must be performed by a UK MLR 2017–supervised agent — a role a Jersey administrator cannot fill.

What we handle for Jersey entities

The whole UK side, online: first registration and the OEID (including entities registering late), the annual update statement with its deadline tracked year after year, and the statutory beneficial-owner verification behind both — each owner verified remotely by smartphone, wherever they are, within the three-month window before filing.

Trust structures and protected-status owners are filed on the correct Companies House paper route from the start. The free check asks the questions that decide all of this and shows standard cases an itemised quote immediately.

Jersey entities — ROE FAQ

Yes. A Jersey company holding a qualifying UK property interest — England and Wales freeholds or leases over seven years acquired on or after 1 January 1999, Scottish land from 8 December 2014, Northern Ireland from 1 August 2022 — must be registered with a valid OEID, and needs one before any new purchase can complete.
The trustees — normally Jersey trustee companies — are the registered proprietors of the property, so they register as the overseas entities. The trust itself is disclosed as part of the filing, and because a trust is in the structure the registration cannot use the online service: it is filed on paper. We prepare the whole filing and route it correctly.
The analysis runs through the trustees and the trust: registrable beneficial owners can include the trustees, and information about the trust — settlor, beneficiaries, and those with control — is disclosed to Companies House (trust information is not published on the public register, but it must be filed). Unit holders with significant holdings can also come into scope. We work through the structure case by case.
No. Jersey’s register is a Jersey obligation and is not public; the UK Register of Overseas Entities is a separate UK obligation with public disclosure and UK-supervised verification. Both apply at once.
They can gather the information, but the statutory verification of beneficial owners must be done by a UK agent supervised under the Money Laundering Regulations 2017, which is what we are. We work alongside Jersey administrators routinely: they supply the structure detail, the owners verify remotely by smartphone, and we complete the checks and the filing.
