Confirmation statement overdue

Every UK company must file a confirmation statement at least once a year. Leaving it overdue is a criminal offence for the directors and the usual trigger for strike-off. We can file it for you as an authorised agent.

What your letter or notice means

First Gazette notice for compulsory strike-off

Companies House has publicly proposed to strike your company off — usually for an overdue confirmation statement or accounts. Act before it’s dissolved.

Second Gazette notice / “dissolved”

The strike-off has completed and the company has been dissolved. It no longer legally exists; restoration is a separate process.

Late filing penalty notice

Your accounts were filed late or are outstanding. Companies House applies an automatic penalty that grows the longer they’re late.

Confirmation statement reminder / overdue

Your annual confirmation statement (CS01) is due or overdue. Filing it keeps the company in good standing.

Identity verification required (ECCTA)

A director or PSC needs to verify their identity. You can do this through an authorised agent (ACSP) like us.

  • Filing private company accounts late costs £150 (up to 1 month), £375 (up to 3 months), £750 (up to 6 months) or £1,500 (over 6 months).
  • Late-filing penalties double if you file late two years in a row.

  • After a first Gazette strike-off notice, a company is usually dissolved around two months later if nothing is done.

How do I stop my company being struck off?

Filing what’s outstanding — and completing any director identity verification — is normally what gets Companies House to suspend the strike-off action. What happens if I ignore a strike-off notice?

If nothing is done after the first Gazette notice, Companies House will dissolve the company. Once dissolved it legally no longer exists: it cannot trade, its bank accounts are frozen, and any remaining assets pass to the Crown (bona vacantia). It can sometimes be restored, but that is a separate legal process.

What is Companies House identity verification (ECCTA)?

Under the Economic Crime and Corporate Transparency Act, directors and people with significant control (PSCs) must verify their identity with Companies House. If someone on your company’s record has not verified, they will need to. As an authorised agent we can verify identities and file the confirming statement (VS01).

My company is already dissolved — can I get it back?

Possibly, through a process called restoration. It is a formal, sometimes court-based procedure, and any company assets will have passed to the Crown. Run the Health Check and we will tell you honestly what applies and point you to the right next step.

What does the Health Check look at?

The live Companies House record for the company — its status (including any proposed strike-off, dissolution or insolvency), confirmation statement and accounts due dates, PSC verification statements (VS01), and whether directors and PSCs appear to have completed identity verification.

Is being struck off the same as being dissolved?

Not quite. “Strike off” is the process; “dissolved” is the end result. A proposed strike-off (the first Gazette notice) is a warning you can still stop by filing what’s outstanding. If it isn’t stopped, the company is struck off and then dissolved — at which point it legally no longer exists.

How long does a strike-off take?

After the first Gazette notice proposing strike-off, Companies House will normally wait at least two months before dissolving the company. That is your window to file the overdue statement or accounts and get the action suspended — the sooner the better.

How much are Companies House late filing penalties?

For a private company, filing accounts late costs £150 if up to a month late, £375 up to three months, £750 up to six months, and £1,500 if more than six months late — and the penalty doubles if you file late two years running.
