Is there a penalty for a late confirmation statement?
There’s no automatic financial penalty like there is for late accounts. But not filing it is a criminal offence for the directors, and it’s the most common reason Companies House begins strike-off action — so it shouldn’t be ignored.
How late is too late to file?
You can file an overdue confirmation statement at any time before the company is struck off — and doing so is exactly what stops a strike-off. The sooner the better.
Do I need personal codes to file it?
Yes — under the new rules every director needs a Companies House personal code (from identity verification). If anyone still needs to verify, we can do that for them as an authorised agent.
